As a reseller of Oracle products in the Netherlands, we commit to ethical, responsible, and lawful business conduct. This Code of Conduct is based on Oracle’s Partner Code of Ethics and Business Conduct, but is tailored to the Dutch market and legal context. All employees, contractors, and representatives of BAEKEN B.V. must follow these principles.

Article 1 – Compliance with Laws and Regulations

  1. We comply with all applicable Dutch and EU laws, including competition, privacy (GDPR/AVG), anti-bribery, export controls, and labor laws.
  2. Where Oracle’s code is stricter than local law, we follow Oracle’s code. If Dutch law is stricter, we always comply with Dutch law.

Article 2 – Fair Competition

  1. We do not make agreements with competitors about prices, customers, markets, or bids.
  2. We do not participate in bid rigging, market sharing, or any other practices that restrict competition.
  3. We do not discuss confidential or sensitive business information with competitors.

Article 3Anti-bribery, Corruption, and Money Laundering

  1. We do not offer, promise, or accept bribes, kickbacks, or anything of value to obtain or retain business or gain an unfair advantage.
  2. We do not engage in or facilitate money laundering.
  3. We do not participate in unsanctioned economic boycotts.

Article 4 – Dealing with Government and Public Sector

  1. We follow stricter rules when dealing with government entities and officials.
  2. We do not offer gifts, entertainment, or anything of value to government officials to influence decisions.

Article 5 – Gifts and Business Courtesies

  1. We only offer or accept gifts or hospitality that are modest, reasonable, and cannot be seen as an attempt to influence business decisions.
  2. We do not offer or accept cash or cash equivalents.

Article 6 – Financial Integrity and Accurate Records

  1. We keep accurate and complete records of all business transactions.
  2. All financial documents and reports must be truthful, complete, and comply with legal and Oracle requirements.
  3. No off-the-books funds or unrecorded assets are allowed.

Article 7 – Confidentiality and Data Protection

  1. We protect Oracle’s and customers’ confidential information and only use it for legitimate business purposes.
  2. We comply with the Dutch GDPR (AVG) for all personal data processing.

Article 8 – Conflicts of Interest

  1. We avoid situations where personal interests could conflict with those of Oracle or our customers.
  2. Any potential conflict must be reported and managed transparently.

Article 9 – Respect, Human Rights, and Labor

  1. We treat all people with respect and dignity.
  2. We do not tolerate discrimination, harassment, or forced labor.
  3. We comply with Dutch labor laws and respect workers’ rights.

Article 10 – Environment, Health and Safety

We operate in an environmentally responsible way and comply with all Dutch environmental and safety laws.

Article 11 – Duty to Cooperate

  1. We cooperate with Oracle in audits, due diligence, and compliance checks.
  2. We provide honest and accurate information when requested.

Article 12 – Reporting Violations

  1. Any suspected violation of this code or the law must be reported to management or Oracle.
  2. Reports can be made confidentially and without fear of retaliation.
